Please read these Terms of Use (“TOU”) carefully, as they govern your access to and use of this website (“Site”) and the products and services provided herein (“Service” or “Services”). These TOU are in addition to (and not in lieu of) any specific terms and policies applicable to the Services you purchase or access through the Site, which are incorporated herein by reference. Collectively, these TOU and referenced policies constitute the “Agreement.”

As used herein, “Oceanwave Tech,” “we,” “us,” “our,” and “ours” refer to Oceanwave Tech and its affiliates. “Customer,” “you,” “your,” and “yours” refer to the individual or entity accessing this Site and purchasing or using the Services.

We reserve the right to modify the Site, Services, or these TOU at any time without prior notice. Continued use of the Site constitutes acceptance of any changes.

Our Obligations

A. Design Services, Process & Project

Oceanwave Tech provides custom design services enabling clients (“Client”) to submit project assignments (“Project”) through creative briefs (“Creative Brief”) and revision briefs (“Revision Brief”). Design experts retained by us provide iterative responses (“Response”), culminating in a final deliverable (“Final Product”).

B. Content

Oceanwave Tech does not routinely screen content but reserves the right to refuse or remove any content deemed illegal, misleading, obscene, or in violation of these TOU.

C. Ownership Rights

Upon full compliance with these TOU, you own the Final Product. However, Oceanwave Tech retains ownership of unused concepts, drafts, and revision-stage materials.

D. Trademark & Copyright Clearance

Oceanwave Tech does not conduct trademark or copyright clearance searches and assumes no responsibility for intellectual property registration. Clients are solely responsible for ensuring legal compliance and are encouraged to seek independent legal advice.

E. Privacy & Security

Oceanwave Tech collects necessary information to fulfill orders and maintain accounts. With consent, information may be used for updates or promotions. We use industry-standard encryption (SSL) for transactions but cannot guarantee absolute security.

F. Confidentiality

We maintain strict confidentiality and do not sell personal information. Third-party service providers may access data solely to support operations.

G. Unlimited Concepts Policy

“Unlimited concepts” packages operate under fair usage limits (up to 30 logo concepts), beginning with 15 initial concepts and additional concepts per feedback cycle.

H. Satisfaction Guarantee

We provide unlimited revisions until satisfaction, provided the selected design direction remains consistent.

Your Obligations

I. Materials Provided by You

You represent that you have full rights to all content submitted (“User Content”). You grant Oceanwave Tech a worldwide, non-exclusive license to use such content solely to provide Services. Projects inactive for 30 days may be deemed complete.

J. Account Security

You are responsible for maintaining accurate account information and safeguarding login credentials.

K. Fees & Payments

All fees are payable at order placement and are generally non-refundable unless stated otherwise.

L. Additional Charges

Additional fees may apply for rush orders, scope changes, additional concepts, or third-party integrations.

M. Delivery

Final digital files are delivered after approval. Revision timelines may vary depending on project complexity.

N. CMS Responsibility

Once CMS credentials are delivered, Oceanwave Tech is not responsible for subsequent modifications.

O. Defamation

Clients agree not to defame Oceanwave Tech publicly and to direct service concerns to customer support.

P. Conflict Resolution

We are not liable for complaints posted on third-party platforms without documented account records.

Intellectual Property

All Site content is owned or licensed by Oceanwave Tech. Unauthorized use is prohibited.

Service Cancellation

We may terminate Services for non-payment, legal compliance, or suspicious activity. Outstanding balances become immediately due.

Refund Policy

Refunds are available within 30 days for initial samples only. Additional revisions void eligibility. Rush fees are non-refundable.

Disputes & Chargebacks

All payments require authorization. Claims after final approval are not entertained. Written proof is required for refund disputes.

Warranty Disclaimer

Services are provided “as is” without warranties of any kind.

Limitation of Liability

Liability is limited to the total fees paid for Services.

Indemnification

You agree to indemnify and hold Oceanwave Tech harmless from claims arising from your use of the Services.

Governing Law

This Agreement shall be governed by and interpreted in accordance with applicable international commercial laws and principles.

Force Majeure

Oceanwave Tech is not liable for delays or non-performance caused by circumstances beyond its reasonable control.
